Committee Bay and Matador Announce Completion of Arrangement

Committee Bay Resources Ltd. ("CBR") and Matador Exploration Inc. ("Matador") announced that the Plan of Arrangement between CBR, Matador, the Securityholders of Matador and Dahava Resources Ltd. ("Dahava") was completed on November 30, 2005.
The resulting business combination of Committee Bay and Matador has created a company poised to take advantage of near term production capability while controlling two greenstone belts and advancing exploration projects on three continents to expand existing resources: the Committee Bay Greenstone Belt of Nunavut, Canada; the Coolgardie Gold District of Western Australia; and prospects in the San Juan and La Rioja provinces of Argentina.
Pursuant to the Arrangement, CBR acquired all of the outstanding common shares of Matador in exchange for issuing to Matador security holders an aggregate of 6,511,301 common shares of CBR ("CBR Shares"); stock options to acquire an aggregate of 328,500 CBR Shares; and warrants to acquire an aggregate of 3,703,500 CBR Shares.
Matador has been halted pending de-listing on the TSX Venture Exchange. Registered shareholders and warrantholders of Matador must complete and return the Letter of Transmittal that was mailed with the Joint Information Circular together with the certificates representing their Matador shares and/or warrants to Olympia Trust Company in order to receive CBR and Dahava securities.
In addition, pursuant to the Arrangement, Matador transferred its option to earn up to a 100% interest in the Bom Jardim Property to Dahava (a wholly owned subsidiary of Matador) in consideration for Dahava's issuing to Matador security holders an aggregate of: 4,521,737 common shares of Dahava ("Dahava Shares"); stock options to acquire an aggregate of 228,125 Dahava Shares; and warrants to acquire an 2,571,875 Dahava Shares. As a result of the Arrangement, Dahava is a reporting issuer in the Provinces of Alberta and British Columbia.
